General terms and conditions (GTC)

These general terms and conditions apply to all activities conducted by Life Institut AG, Life Institute and for the use of Life Institute’s applications. They govern the contractual relationship with Life Institute.

Workshops and courses

General information

Registration can be done online or via e-mail and is binding. The number of participants is limited. Registrations are on a first-come, first-served basis, and confirmations are sent via e-mail.

Event location

The event location is indicated in the current event program. If several event locations (cities) are indicated, the workshop will take place in one or several indicated cities, as per the participants’ preferences. Participants will be informed of the event location approximately 5 weeks prior to the event.

Service

The participation fee is per person and scheduled event, plus value-added tax. It includes documentation and beverages during breaks.

Life Institute reserves the right to replace scheduled speakers with others and make necessary modifications to the event program, while ensuring that the overall nature of the event is maintained.

In the event of possible disruptions to services, Life Institute commits to eliminate or minimize the disruption, to the best of its ability.

Costs of travel, accommodation and meals

Travel, accommodation and meals are to be arranged/booked and paid by the participant.

Cancellation of the event and compensation conditions

If the event cannot take place due to force majeure, an inability on the part of the speaker to keep the commitment, disruptions at the event location or insufficient participants, participants shall be informed immediately.

Participants will be informed no later than two weeks before the event date if the event has to be canceled due to insufficient numbers.

In this case, registered participants will be reimbursed for their prepaid registration fee, or they can use this amount towards another Life Institute event.

There shall be no compensation for travel and accommodation costs, or for absence from work, unless these costs arise due to gross negligence or damages caused intentionally on the part of Life Institute.

Participation fees

Participation in the event(s) requires payment of the participation fee. Changes to the price and exchange rate are expressly reserved.

Copyrights

Documents accompanying Life Institute seminars and workshops are protected under copyright law. The copying, distribution or other uses of the documentation is only permitted if expressly authorized, in writing, by Life Institute.

Cancellation conditions/Insurance

Unless otherwise mentioned in the program, the following conditions apply: For cancellations or rebookings less than 31 days before the start date, only 50% of the registration fee will be reimbursed; there is no reimbursement for cancellations or rebookings less than 15 days before the start date. If a participant has not deregistered, participant fees are to be paid in full. We will gladly accept a replacement participant, free of cost.

It is the responsibility of the participants to take out any insurance policies. Life Institute does not provide any insurance coverage and shall not be held liable for damages due to force majeure, such as accidents, illness, death, etc. We recommend that you take out a cancellation insurance that will cover possible cancellation fees.

Liability for personal injuries and damages to property during the actual training event as well as during any other events organized by Life Institute, with the exception of damages caused deliberately or due to gross negligence, is explicitly excluded.

The rethinking cloud

General information

The rethinking cloud supports work with and on people’s viewpoints. On the basis of collected data, applications in the cloud make, among others, certain information, offerings, recommendations and services available to the user and promotes interaction, both within and outside of the user’s network. This occurs in compliance with any privacy settings and declarations of consent on the part of the user.

The user’s social network profile page (hereinafter referred to as “user profile”) is the identity used by and associated with the user on the rethinking cloud’s applications. In order to use the rethinking cloud, a user profile is required.

There are only a few applications for which the user profile is not visible. There are also a few applications where the user does not use or appear under his/her user profile. However, the user must always register on the rethinking cloud.

Conditions for use, conclusion of the contract and contractual commitment

When a user registers on the rethinking cloud, s/he will obtain a free account. Registration is required, for which the user must create, among other things, a password. It is the responsibility of the user to keep his/her password confidential. The rethinking cloud will not share this password with third parties, will use it only for the sign-in process, and will not – with the exception of the sign-in process – ask for the password at any time. For security purposes and to prevent abuse, it is recommended that the user change the password regularly. Securing and saving the information to access the rethinking cloud (especially the password) is the sole responsibility of the user.

Insofar as the user uses a rethinking cloud application that can also be used by users not having a visible user profile, a user account will be created for the user, if one does not currently exist. This is how the contract for use is established between the user and Life Institute. A user account is a user profile that is not initially visible. Under this user account, the user can initially only use those applications that are also usable without a visible user profile.

If the user would like to use applications that require a visible user profile, s/he must first confirm or release the visibility of her/his user profile.

The user guarantees that all data s/he has provided is accurate and complete. It is the responsibility of the user to maintain the accuracy and completeness of this data with respect to all applications being used for the entire duration of the contract. In cases where customer service, on behalf of the user, makes manual modifications to the user’s data, Life Institute reserves the right, if necessary, to invoice the customer for the costs incurred, to the extent that the user was responsible for the event giving rise to the costs.

Through his/her statements, the user undertakes to respect applicable law, as well as all rights of third parties, to refrain from engaging in disruptive acts, even if these do not violate any laws, and to not compromise, in any manner, the rethinking cloud’s functionality, or to overload it excessively.

The user guarantees that s/he has reached the age of majority. In cases where the user is working for a legal entity for specific applications, the user guarantees that s/he is authorized to act on behalf of the legal entity. The user shall provide evidence of this on request.

The rethinking cloud is not technically capable of determining with certainty whether registered user actually represents the person whom the user professes to be. Life Institute therefore does not accept responsibility for the actual identity of the user.

Every user can only create one user profile. The user cannot allow third parties to use their user profile.

Fees, statement, invoicing, payment terms

When claiming payable services, the user accepts the responsibility to pay when clicking the confirmation button, which appears in this case.

The user can pay the invoice using the payment process provided by the rethinking cloud. If the amount owing cannot be collected, the user shall bear all related costs, in particular bank fees resulting from returned debits and similar fees, to the extent that the user was responsible for the event giving rise to the costs.

The rethinking cloud is free to exclusively send invoices and payment reminders electronically. The rethinking cloud reserves the right to convert, at any time, the invoice from CHF to the currency of the user’s country of residence, provided the user does not disagree.

Subscription fees for the entire subscription period must be paid immediately on receipt.

The rethinking cloud reserves the right to increase, within reason, the subscription fees, effective at the start of a new renewal period, which will follow either the minimum usage period or the current renewal period. In the case of a price increase, the user will be informed at least six (6) weeks before the end of the minimum usage period or the current renewal period, respectively. If a user does not agree with this increase, s/he can submit an objection within three (3) weeks via the contact form, a letter, fax or e-mail. This objection corresponds to a termination of the subscription by the user. On expiry of the existing minimum usage period or the current renewal period, the account is reset to a free account.

For new customers who have selected a credit card as their payment option, the user’s credit card will be pre-authorized for a minimum amount and then verified for the later payment of the invoice amount after invoicing. As a rule, the temporary hold on your credit card is released within 24 hours.

Period, end of contract, sanctions, repayment of prepaid fees

The user and the rethinking cloud can terminate free accounts at any time without cause. In the event of a termination, to protect the user against the unauthorized deletion of his/her user profile by third parties, the rethinking cloud can carry out an identity check, e.g.: by running a query on the user name and one of the e-mail addresses registered on the rethinking cloud.

A member subscription is initially for the minimum usage period specified by the user. Afterwards, the renewal period is for the same duration, if it is not terminated by the rethinking cloud user in a timely manner.

The user and the rethinking cloud can terminate a member subscription without cause within a period of three (3) weeks before the end of the minimum usage period specified in the registration process, or on the expiry of a renewal period via the contact form, a letter, fax or e-mail. After the termination of the premium membership by the user or the rethinking cloud, the free account continues to be available to the user until the termination, but the supplemental and extended functionality of the members subscription are no longer available.

Even in the event of special provisions pertaining to the subscription period and termination, both parties reserve the right to terminate the contractual relationship under extraordinary circumstances without notice, where good cause exists. Good cause for extraordinary termination is when the continuation of the contractual relationship cannot reasonably be expected to be possible to the expiration of the legal termination period for the party wishing to terminate, taking into consideration all circumstances related to the individual case and after weighing the interests of both parties involved. In particular, the rethinking cloud considers good cause as the inability to adhere to legal provisions, the non-compliance of users with respect to contractual obligations, or the wrongful use of the rethinking cloud.

Responsibility for contents, user data and/or information, availability

The rethinking cloud takes no responsibility for any statements made by users, content, data and/or information made available by them, or for content on linked external websites.

Should the user notice usage of the rethinking cloud that is not in compliance with the applicable laws or the provisions under these GTC, this can be reported.

With respect to data or content that is or was publicly available and was saved by a third party, the rethinking cloud is under no obligation to prevent this storage by a third party, in accordance with the GTC, Life Institute’s privacy policy or the user’s settings.

The rethinking cloud only provides the user with applications supporting the work on viewpoints and is categorically not involved in the members’ communications with each other. This does not apply if Life Institute is the one carrying out a rethinking process. If the users conclude contracts with one another, the rethinking cloud is not involved and therefore will not become a contractual partner. The users are solely responsible for the execution and performance of contracts completed amongst themselves. The rethinking cloud shall not be liable for any breaches of obligations of users arising from the contracts concluded between the users.

The user acknowledges that a 100% availability of the rethinking cloud is technically not possible. However, Life Institute shall endeavor to maintain the constant availability of the rethinking cloud.

Liability

The rethinking cloud’s liability shall be unlimited in the event of damages of life, injuries and health due to a breach of obligations by the rethinking cloud, a legal representative or subcontractors of the rethinking cloud, and for damages caused by fraudulent behavior, deliberately or through gross negligence on the part of one of its legal representatives or subcontractors.

In the case of damages caused by slight negligence of key contractual obligations, the rethinking cloud’s liability shall be limited to the foreseeable losses typical of the contract.

All other cases of liability against the rethinking cloud shall be excluded.

Liability under the Product Liability Act shall remain unaffected.

Right of revocation

You reserve the right to revoke your subscription membership within fourteen days without grounds. The revocation period consists of fourteen days, from the date of the conclusion of the contract. To exercise your right of revocation, you must inform us of your decision to revoke this contract by sending a clearly-stated explanation to our company address (e.g.: a letter sent via mail, fax, e-mail or via our contact form).

The timely sending of the revocation shall be deemed sufficient for compliance with the revocation terms.

If you are revoking subscription membership, we must immediately reimburse you for all payments have received from you, including delivery costs (with the exception of additional costs arising if you selected a delivery type that is different from the inexpensive standard delivery offered by us), at the latest within fourteen days from the date on which we received your letter of revocation of the contract. For this reimbursement we will use the same payment method that you used for the original transaction, unless something different was expressly arranged with you; in no case shall you be charged a fee for this reimbursement.

Changes to the GTC

Changes to services

Life Institute reserves the right to change the offered services or to offer differing services, unless such amendment is unacceptable for the user.

Furthermore, Life Institute reserves the right to change the offered services or offer differing services in order to conform with the law, comply with court decisions or an administrative decision, to close existing security gaps or implement new technical or process-based changes without significant impact to the user.

Changes with an insignificant effect on the rethinking cloud’s functionality do not represent changes to services in the sense of this clause. This applies in particular to purely graphical changes and the simple change of the order of functions.

Changes to the GTC

Life Institute reserves the right to amend these GTC without cause, unless such amendment is unacceptable for the user. Life Institute will inform the user of amendments to the GTC in a timely manner. Unless the user objects to the applicability of the new GTC within six (6) weeks of notification, the amended GTC shall be deemed as accepted by the user. Life Institute shall inform the user in the notification about his/her right to object and the importance of the objection deadline in said notice.

The user’s right of termination remains unaffected by any changes to services or amendments to the GTC in light of this provision.

Data protection

The collection, processing and/or use of personal data only occurs on consent of the user or if this is legally permitted. The use of personal data for which we have been granted legal permission to occurs specifically in the context of fulfilling the contractual obligations of the rethinking cloud towards users.

The rethinking cloud provides the user with a multitude of functions that are individually adapted to the user. In order to be able to provide the services, the user’s personal data must be processed and used.

The rethinking cloud provides users with the opportunity to share their personal data in whole or in part with other users, or to revoke access to the data. The sharing of this data is at the user’s risk.

Newsletter

We send out various newsletters on a regular basis, to share information about different workshops and events. Only customers who have expressly registered to receive our newsletters or who have attended one of our events will receive our newsletters.

Should you wish to no stop receiving our newsletter, you can inform us at any time, with future effect. We will then stop sending you our newsletter. The cancellation request can be sent to Life Institute’s business address. There is also an unsubscribe link at the end of every newsletter that you can click on to unsubscribe.

Newsletter data such as your e-mail address, salutation, surname, name, postal code, city and country, as well as your business address and position is not shared with or transmitted to third parties.

Place of jurisdiction

The general terms and conditions of Life Institute are subject to Swiss law. The sole place of jurisdiction is Zofingen.
